PURPOSE
Use this agreement when the museum hires an outside individual or company to perform services as an independent contractor, not as an employee. This contract protects the museum by clearly defining the relationship, limiting liability, protecting confidentiality, and confirming that all deliverables are owned by the museum.
CAUTION
Please be aware that there could be very high penalties if a worker inappropriately treated is as an Independent Contractor and not an employee. Whether or not the worker can legally be treated as an independent contractor (and not get any employee benefits), depends on many factors. If you are not sure about the designation of someone you are hiring, you should see the advice of a labor attorney, licensed in your state.
